建行纳闽分行回应发行数字债券:非债券发行人,是牵头安排人

中国第二大国有商业银行中国建设银行(601939.SH, 00939.HK)对“发行数字债券”一事作出了回应。

11月12日,位于马来西亚的建行纳闽分行发布声明,回应关于其首个基于区块链债券的相关新闻报道。根据声明,建行纳闽分行表示其不是债券的发行人,该分行的角色是牵头安排人,促进以美元清算、结算债券的上市顾问和设施代理。建行纳闽分行还强调,不接受任何银行交易中使用包括比特币在内的加密货币。

就在前一日,亚洲数字资产交易所FUSANG官网发布新闻称,建行纳闽分行(“ CCB Labuan”),将牵头一只在区块链上交易的数字债券,目标规模30亿美元,并将在FUSANG上可用美元和比特币交易。

FUSANG表示,该数字债券由Longbond Ltd.发行,Longbond Ltd.则是一种SPV(特殊目的载体),其设立的唯一目的是发行数字债券并将收益存入建行纳闽分行。

华尔街日报对此报道称,建行纳闽分行将发行一只募资规模为30亿的数字债券。

FUSANG官网新闻稿显示,该数字债券的年化利率为伦敦银行同业拆息(Libor)加50个基点,约为0.70%,大大高于定期存款的市场利率。投资金额门槛为100美元。另据华尔街日报报道,该数字债券将每三个月展期一次,全世界的投资者都可以购买这款债券,FUSANG交易所称此次发债将于周三启动,11月13日开始交易。

华尔街日报援引建设银行(马来西亚)战略及业务发展总监Steven Wong表示:“从我们的角度来看,我们是在吸收银行存款,这是我们的核心业务。”他表示,建行认为这是一次试点,一个创新产品。他还表示,建行不会从事比特币或加密货币交易。

或受此消息影响,比特币价格近几日也在不断上涨。截至发稿,比特币价格约为16400美元左右,较11日收盘价上涨4.6%。

建行纳闽分行是建设银行的一级分行,在马来西亚纳闽IBFC注册,于2019年6月20日获得纳闽银行牌照,并于2019年9月3日开始营业。纳闽是马来西亚一个小型离岸金融中心,也是一个避税天堂。

Malaysia-based CCB Labuan branch issued a statement on Nov 12 in response to news reports about its first blockchain-based bond. According to the statement, CCB's Labuan branch said it is not the issuer of the bonds and its role is to lead the arranger and promote listing advisers and facility agents for clearing and settling bonds in US dollars. The Labuan branch also stressed that cryptocurrencies, including Bitcoin, would not be accepted in any bank transactions.

A day earlier, the Asian digital asset exchange FUSANG announced on its website that CCB Labuan would lead a digital bond to be traded on the blockchain, with a target size of $3 billion, and would be available for trading in US dollars and bitcoin on FUSANG.
The digital bond was issued by Longbond Ltd., FUSANG said. It is an SPV (special purpose vehicle) whose sole purpose is to issue digital bonds and deposit the proceeds in the Labuan branch of CCB.
The Wall Street Journal reported that THE Labuan branch of China Construction Bank will issue a $3 billion digital bond.
According to a press release on FUSANG's website, the annualized interest rate on the digital bond is Libor plus 50 basis points, or about 0.70 percent, much higher than the market rate for time deposits. The investment threshold is $100. Investors around the world will be able to buy the digital bond, which will be rolled over every three months, according to the Wall Street Journal. The FUSANG Exchange said the bond issue will be launched on Wednesday and begin trading on November 13.
"From our point of view, we are taking bank deposits, which is our core business," Steven Wong, director of strategy and business development at CCB (Malaysia), was quoted as saying by the Wall Street Journal. He says CCB considers this to be a pilot, an innovative product. He also said CCB would not engage in bitcoin or cryptocurrency transactions.
Or perhaps influenced by the news, the price of Bitcoin has been rising in recent days. At press time, bitcoin was trading at around $16,400, up 4.6% from its closing price on Friday.
CCB Labuan Branch is a first-class branch of CCB registered with IBFC Labuan, Malaysia. It was licensed as Labuan Bank on June 20, 2019 and commenced business on September 3, 2019. Labuan is a small offshore financial center in Malaysia and a tax haven.
Fusang is the first fully operational stock exchange in Asia, allowing companies to go public through digital ipos and supporting trading in digital securities and cryptocurrencies, according to Fusang's website.
